General Terms of Use and Sale of the Facture.mu Service
1. Purpose and scope
These General Terms of Use and Sale (hereinafter the "GTUS") set out the conditions of access to, use of, and sale of the Facture.mu service, an online platform for managing invoicing and commercial documents intended for professionals.
They apply to any natural or legal person using the Service, whether on a free trial or holding a paid subscription (hereinafter the "Client").
2. Definitions
- Facture.mu: the online platform enabling the creation and management of invoices, quotes and related documents.
- Service: all the features made available by Facture.mu.
- Client: any natural or legal person using the Service for professional purposes.
- Account: the Client's personal space giving access to the Service.
- Subscription: a paid plan giving access to the Service under the chosen conditions.
- Content: all data, information and documents entered or generated by the Client through the Service.
3. Acceptance of the GTUS
Use of the Service implies full and unreserved acceptance of these GTUS.
The Client acknowledges having read the GTUS before any use of the Service.
Facture.mu reserves the right to refuse access to the Service to any user who does not comply with these conditions.
4. Access to the Service and Account creation
Access to the Service requires the creation of an Account using a valid email address.
The Client undertakes to provide accurate, complete and up-to-date information.
The Client is solely responsible for keeping their credentials confidential and for any use of their Account. Any action carried out from the Account is deemed to be performed by the Client.
5. Description of the Service
Facture.mu allows, in particular:
- the creation and management of invoices and quotes,
- the management of clients and suppliers,
- payment tracking,
- the export of accounting documents,
- and any related feature depending on the subscription taken out.
Facture.mu reserves the right to develop, modify or remove certain features in order to improve the Service.
6. Subscriptions, pricing and billing
The Service is offered under various Subscription plans, the features and prices of which are indicated on the Facture.mu website.
Subscriptions are billed in advance, according to the chosen frequency (monthly or annual). Unless otherwise stated, payments are neither refundable nor transferable.
In the event of non-payment, Facture.mu reserves the right to suspend or terminate access to the Service.
7. Trial period
A free trial period may be offered. At the end of this period, the Service will be automatically suspended unless a paid Subscription is taken out.
Facture.mu reserves the right to limit access or features during the trial period.
8. Client obligations
The Client undertakes to:
- use the Service in accordance with its intended purpose,
- comply with applicable laws and regulations, in particular regarding invoicing,
- not use the Service for fraudulent, illegal or abusive purposes,
- ensure the accuracy of the information and documents generated through the Service.
The Client remains solely responsible for the legal and tax compliance of the documents they issue.
9. Client data and content
The Client retains full ownership of their Content.
They authorise Facture.mu to process this Content solely for the purpose of providing, maintaining and improving the Service.
Facture.mu does not carry out any substantive review of the Content generated by the Client.
10. Data backup and retention
Facture.mu implements reasonable measures to ensure the security and backup of data.
However, the Client is responsible for retaining their data and is encouraged to make their own backups.
In the event of Account termination, access to the data may be deleted after a reasonable period.
11. Service availability
Facture.mu strives to ensure continuous availability of the Service, without however guaranteeing the complete absence of interruption.
Temporary interruptions may occur, in particular for maintenance, updates or technical incidents.
12. Liability
Facture.mu provides the Service "as is".
Its liability cannot be engaged in the event of indirect damage, loss of data, loss of revenue or commercial harm.
In any event, Facture.mu's liability is limited to the total amount paid by the Client over the last twelve (12) months.
13. Intellectual property
The Facture.mu platform, its code, design, trademarks and content are protected by intellectual property rights.
Any unauthorised reproduction, exploitation or use is strictly prohibited.
14. Personal data
Personal data is processed in accordance with the Facture.mu privacy policy.
The Client has rights of access, rectification and deletion of their data.
15. Termination
The Client may terminate their Subscription at any time via their Account.
Termination takes effect at the end of the current subscription period.
Facture.mu reserves the right to terminate an Account in the event of a breach of the GTUS or abusive use of the Service.
16. Amendment of the GTUS
Facture.mu may amend these GTUS at any time.
The new conditions apply as soon as they are published on the website.
17. Governing law and jurisdiction
These GTUS are governed by the law applicable at the location of Facture.mu's registered office.
Any dispute will be submitted to the competent courts.
